General Terms and Conditions (GTC) Valoterna GmbH

Note on readability:
To improve clarity, gender-specific language has been avoided. Terms such as "buyer" apply equally to all genders and are to be understood as neutral.
1. Scope of Application
These GTC govern all contractual relationships between Valoterna GmbH, Tegetthoffstraße 3/10, 1010 Vienna, Company Registration Number 629832z – hereinafter referred to as "Valoterna" – and all private end customers (hereinafter referred to as "buyer"), i.e., consumers as defined in Section 1 of the Austrian Consumer Protection Act (KSchG), who wish to purchase gemstones – regardless of their place of residence in Austria or abroad.
The legal basis for each individual transaction is:
the individual offer (e.g., gemstone selection in the online shop);
these GTC including the cancellation policy, shipping and payment terms, and privacy policy.
Other terms and conditions, in particular those of the buyer, do not apply – even if Valoterna is aware of them or they were submitted during the ordering process, unless Valoterna has expressly agreed to them in writing.
A consumer is any natural person who enters into a transaction that is predominantly not for professional or commercial purposes. Buyers confirm that they are acting solely as consumers and will not use the goods for resale or commercial purposes.
2. Subject Matter of the Contract
The subject matter of the purchase is one or more gemstones as described in the respective offer or the accompanying appraisal. These appraisals describe the gemstone(s) in more detail.
3. Conclusion of Contract
A legally binding purchase contract is concluded by:
the buyer's written acceptance of an offer from Valoterna, and/or
Valoterna's express acceptance of the buyer's order via the online shop.
The order is only considered accepted when Valoterna confirms it. The mere display or listing of gemstones on the website does not constitute a binding offer.
All information on www.valtoerna.com is provided without guarantee of completeness or accuracy and is subject to change without notice. Errors and omissions excepted.
4. Payment Terms
All prices are in euros and include statutory VAT. Our current shipping and payment terms for the online shop can be viewed here.
Payment is due promptly and without deduction upon receipt of the invoice.
5. Ownership & Performance
Valoterna retains ownership of the purchased item until full payment has been received. This applies even if the purchased item has already been delivered.
Valoterna will inform the buyer upon receipt of full payment and will then deliver the purchased item. This is generally done via insured shipping. By prior arrangement, delivery can also be made in person or the buyer can pick up the item from Valoterna.
6. Delivery and Transfer of Risk
Delivery is complete and all risk passes to the buyer upon delivery.
Valoterna uses only selected shipping providers. Shipping is insured.
If the customer requests shipping via a different carrier, Valoterna expressly disclaims all liability.
In the event of transport damage, the buyer is obligated to report this to Valoterna immediately in writing, including photographs.
... If collection from Valoterna is agreed upon instead of delivery or personal delivery, this must take place within 14 days. The period begins as soon as Valoterna has notified the buyer of this in writing.
7. Right of withdrawal pursuant to Section 3 of the Austrian Consumer Protection Act (KSchG)
If the contract was concluded outside of Valoterna's business premises, the buyer has a right of withdrawal within 14 days. The period begins upon conclusion of the contract or acceptance of the goods.
Withdrawal is excluded, among other things, if:
the buyer contacted Valoterna directly,
the contract was concluded at a trade fair or market.
To meet the deadline, it is sufficient to send the notice of withdrawal to Valoterna within the specified period. This can be done by mail or by email to office@valoterna.com.
8. Right of withdrawal pursuant to the Austrian Distance Selling Act (FAGG)
Consumers may withdraw from the contract within 14 days of receiving the goods without giving any reason.
This right of withdrawal is excluded, among other things, if:
Gemstones were expressly ordered at the buyer's request.
To meet the deadline, it is sufficient to send the notice of withdrawal to Valoterna in a timely manner. This can be done by mail or by email to office@valoterna.com.
9. Default and Withdrawal
If delivery is delayed, the buyer may withdraw from the contract in writing after a grace period of 15 working days. Any advance payments made will be refunded in this case with interest at 4% per annum.
In the event of late payment, Valoterna reserves the right to charge default interest at a rate of 4% per annum plus reminder fees.
If the buyer does not collect the goods from Valoterna within 30 days of the agreed collection date, Valoterna will store the goods under insurance. Any resulting storage and insurance costs will be charged to the buyer. The goods will only be released to the customer after payment has been received.
10. Liability
Valoterna is liable only in cases of culpable conduct. Valoterna assumes no liability for slight negligence resulting in property damage, particularly consequential damages.
11. Data Protection
Your data will be processed exclusively in accordance with the applicable data protection regulations, in particular the GDPR, the Austrian Data Protection Act (DSG), and the Austrian Telecommunications Act 2003 (TKG 2003). Further information can be found in our Privacy Policy. ( Link please)
12. Jurisdiction & Applicable Law
For disputes, the competent court at Valoterna's registered office shall have jurisdiction, provided that this does not restrict any mandatory consumer protection rights.
Austrian law shall apply exclusively. The UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict-of-laws rules of private international law are excluded.
13. Copyright
All content on the website www.valoterna.com and its affiliated companies, as well as the Valoterna online shop, is protected by copyright. Content may only be used with prior written permission from Valoterna. Any violation of this constitutes a copyright infringement.
14. Miscellaneous
If any provision of these Terms and Conditions is held to be invalid, void, or unenforceable, the validity of the remaining provisions shall not be affected.
